These Affiliate Program Terms (“Affiliate Terms”) are a binding agreement between you and Project Lancer, LLC (“Lancer,” “we,” “us,” or “our”) governing your participation in the Lancer affiliate program (the “Program”). The Program is operated using Tolt and related payment processors. These Affiliate Terms are in addition to our Terms of Service and Privacy Policy.
By applying to the Program, creating an affiliate account, clicking to accept these Affiliate Terms, or promoting Lancer under an affiliate link or code we issue, you agree to these Affiliate Terms. If you do not agree, do not join or use the Program.
1. The Program
The Program lets approved partners refer customers to Lancer’s software-as-a-service platform at app.lancer.pro. If a referred customer completes a Qualifying Transaction and Tolt attributes that transaction to you, you may earn a commission as described in these Affiliate Terms and in the affiliate portal.
Lancer may accept, waitlist, or reject any application in its discretion. Approval does not create an employment, partnership, joint venture, or agency relationship. You are an independent contractor.
2. How tracking and commissions work
We use Tolt to issue your referral link, set cookies or similar identifiers, attribute referrals, calculate commissions, and generate payouts. Commission rates, cookie or attribution window, payout schedule, minimum payout threshold, and available payout methods are as displayed in the Lancer affiliate portal at the time of the relevant transaction or payout. Those portal settings control the Program unless we agree otherwise with you in writing.
A “Qualifying Transaction” is a successful payment to Lancer for platform fees that Tolt attributes to your referral, currently including paid Lancer subscriptions and additional paid seats on an attributed subscription, and one-time job-posting credits. Identity-verification checkout is not a Qualifying Transaction. Payments that customers collect from their own clients (including invoices processed on a connected Stripe account) are not Qualifying Transactions and do not earn commission.
Commissions are calculated on the tracking amount determined by Tolt. If we exclude Stripe-collected tax from that amount, commission is based on the pre-tax platform fee. Refunds, chargebacks, failed payments, fraud, and reversed or unpaid invoices may reduce or cancel unpaid commissions, and Tolt may debit previously accrued commission when Stripe reports a refund or similar reversal.
3. Payouts
Payouts are generated according to the payout term shown in the affiliate portal (for example NET-30, meaning payouts for a calendar month are generated that many days after the month ends). We will not pay a balance until it meets the minimum payout threshold shown in the portal. Unpaid amounts roll forward until the threshold is met or the Program relationship ends, subject to these Affiliate Terms.
You must provide accurate payout details for a method we support (currently PayPal, and any additional methods we enable such as Wise). You are responsible for payout-provider accounts, fees those providers charge you, and any taxes on commissions. We may withhold or delay payouts if your information is incomplete, we reasonably suspect fraud or a Terms violation, or we are required to do so by law.
If you are a U.S. person, we may require a Form W-9 before paying you. If you are not a U.S. person, we may require a Form W-8BEN or similar certification. We may issue information returns (such as Form 1099-NEC) where required. You are solely responsible for reporting and paying taxes on commissions.
4. Promotional rules
You may promote Lancer only in a truthful, lawful way. You must clearly disclose your material connection to Lancer where required (including FTC endorsement guidelines and similar rules in your jurisdiction).
- Do not bid on or use Lancer’s name, trademarks, or confusingly similar terms in paid search, social ads, or domain names without our prior written consent (no brand bidding).
- Do not cookie-stuff, drop tracking without a genuine user action, inject malware, or use unauthorized browser extensions or scripts.
- Do not spam, scrape, or send unsolicited commercial messages. Comply with CAN-SPAM, CASL, and other anti-spam laws.
- Do not create a Lancer account, subscribe, or purchase through your own link, or refer businesses you own or control, without our prior written consent (no self-referrals).
- Do not make false claims about pricing, features, earnings, hiring outcomes, tax results, or identity verification. Lancer is software, not an employer, escrow agent, or tax preparer.
- Do not use our logos or brand assets except as we provide for Program use, and do not present yourself as a Lancer employee or official representative.
- Do not offer unauthorized coupons, rebates, or cashback that we have not issued for the Program.
5. License and intellectual property
We grant you a limited, revocable, non-exclusive, non-transferable license to use Program links, trademarks, and marketing materials we provide, solely to perform under these Affiliate Terms. Lancer and its licensors retain all other rights. We may revoke this license at any time.
6. Confidentiality and data
Commission reports, unpublished Program terms, and non-public Lancer information are confidential. Do not disclose them except as required by law. The affiliate portal is operated by Tolt; Tolt’s terms and privacy policy apply to your use of that portal, in addition to our Privacy Policy at https://lancer.pro/privacy.
7. Term and termination
These Affiliate Terms continue until you or we end the Program relationship. You may stop participating at any time. We may suspend or terminate your participation, withhold pending commissions reasonably tied to suspected abuse, and disable your links immediately if you breach these Affiliate Terms, create legal or reputational risk, engage in fraud, or if we discontinue the Program.
On termination, your license ends and you must stop using our marks and affiliate links. Commissions that are valid, attributed, and past any refund window may still be paid on the next scheduled payout if they meet the threshold, unless we terminate for cause. We are not obligated to pay commissions that have not yet been approved, that relate to reversed transactions, or that we reasonably determine were earned in violation of these Affiliate Terms.
8. Disclaimer and limitation of liability
THE PROGRAM AND ANY RELATED MATERIALS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANCER DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE referral volume, tracking completeness, cookie persistence across browsers or devices, or any particular commission amount.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANCER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING OUT OF THE PROGRAM. LANCER’S AGGREGATE LIABILITY UNDER THESE AFFILIATE TERMS WILL NOT EXCEED THE COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
9. Indemnification
You will defend, indemnify, and hold harmless Lancer and its officers and employees from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your promotional activities, your content, your breach of these Affiliate Terms, or your violation of law or third-party rights.
10. Governing law and disputes
Project Lancer, LLC is organized under the laws of the State of Missouri. These Affiliate Terms are governed by the laws of the State of Missouri, excluding conflict-of-law rules, unless a different jurisdiction is required by applicable law that cannot be waived. Courts located in Missouri will have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

11. Changes
We may update these Affiliate Terms, commission rates, and Program settings from time to time. The version and effective date appear at the top of this page. Material changes may be communicated through the affiliate portal, email, or by requiring renewed acceptance. Continued participation after the effective date constitutes acceptance, except where applicable law requires a different method of consent. Changes to commission rates apply going forward and do not retroactively reduce commissions already approved for payout, except as needed to reverse refunds, chargebacks, or violations.
